Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services operated by Khimaira Labs ("we", "us", or "Khimaira Labs"). By using any of our services, you agree to these Terms. If you do not agree, do not use our services.

1. Services

Khimaira Labs provides two categories of services:

• SaaS products — software applications available by subscription, including TariffClassify (tariffclassify.ai) and any other tools we release.
• Custom software and websites — bespoke software and websites built for clients under a separate written agreement. Custom projects are governed by the statement of work for that engagement; these Terms apply where not superseded by that agreement.

2. Accounts

To access most features of our SaaS products, you must create an account. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at support@khimairalabs.com if you believe your account has been compromised.

You must be at least 18 years old to create an account and use our services for commercial purposes.

3. Pricing and payment

SaaS subscriptions: Pricing for each product is shown on that product's website before purchase. All prices are in US dollars unless otherwise stated. Subscriptions are billed on a recurring basis (monthly or annually, as selected). You authorize us to charge your payment method on file at the start of each billing period.

Custom development: Fees are agreed in writing before work begins and are billed according to the milestones defined in the statement of work.

All payments are processed by Stripe, Inc., a PCI-DSS-compliant payment processor. We do not store your full payment card details.

4. Cancellation policy

SaaS subscriptions: You may cancel your subscription at any time from your account settings or by contacting us at support@khimairalabs.com. Cancellation takes effect at the end of your current billing period. You will continue to have full access to the service until that date, and no further charges will be made after cancellation.

Custom development: Either party may terminate a custom engagement by providing 14 days written notice. Work completed and delivered up to the termination date is billable; work not yet started is not.

5. Refund policy

SaaS subscriptions: We do not provide prorated refunds for unused subscription time. If you believe you have been charged in error, contact us at support@khimairalabs.com within 30 days of the charge and we will investigate and resolve the issue. At our discretion, we may issue a refund where an error on our part resulted in an incorrect charge.

Annual subscriptions: If you cancel an annual subscription within 14 days of the initial purchase and have made minimal use of the service, we will refund the full amount on request.

Custom development: Payments for delivered and accepted milestones are non-refundable. If delivered work does not meet the agreed specifications, we will revise it at no additional charge.

6. Acceptable use

Your use of our services is subject to our Acceptable Use Policy. We may suspend or terminate accounts that violate it, without refund.

7. Intellectual property

Our products: The software, design, and content of our SaaS products are owned by Khimaira Labs. Your subscription grants you a limited, non-exclusive, non-transferable license to use the product for your internal business purposes.

Your data: You retain ownership of any data you input into our products. We do not claim rights to your data.

Custom development: Upon receipt of full payment for a custom project, the client owns the work product as defined in the statement of work. Pre-existing Khimaira Labs tools, libraries, and frameworks used in the build remain our property, but you receive a perpetual license to use them as part of the delivered product.

8. Copyright complaints

If you believe content on our services infringes your copyright, please follow the procedure in our DMCA / Copyright Policy.

9. Service availability

We aim for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We are not liable for losses caused by service outages outside our reasonable control.

10. Disclaimer of warranties

Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the services will meet your specific requirements or that they will be error-free.

11. Limitation of liability

To the maximum extent permitted by law, Khimaira Labs and its officers, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of — or inability to use — our services. Our total liability for direct damages shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Governing law

These Terms are governed by the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

13. Changes to these Terms

We may update these Terms at any time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
